Role and Responsibilities:
- Ensure compliance under the Companies Act 2013 for Genpact’s Indian private limited companies, LLP, and branch offices.
- Ensure compliance under FEMA and RBI guidelines for all Genpact Group entities in India.
- Prepare and review all relevant documents relating to the Board and General meetings of Genpact’s Indian entities, coordinate all board/general/other meetings and keep proper records and prepare required materials — including preparing agendas for and taking minutes of board meetings and annual general meetings, preparing, and publishing the director’s report and publishing and distributing annual reports.
- Draft various resolutions as required under Companies Act, 2013.
- Draft and execute Agreements/Supplementary Agreements for the LLP and file necessary e-forms in respect thereof with Ministry of Corporate Affairs.
- Maintain statutory registers and minutes and regular update and upkeep of corporate records and maintain statutory books and registers of directors, members, annual accounts, etc.
Required Skills and Qualification:
- Member of the Institute of Company Secretaries of India (ICSI).
- Relevant experience in the Indian Corporate Secretarial/legal function; relevant experience of PQE is required.
- Excellent drafting skills, organisation of Company secretarial documents and files.
- Ability to manage and collaborate in a team of professionals.
